Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the WeMakeIoT website (https://wemakeiot.com/), our custom development services, and our SaaS platform, SensorVision. By accessing our website or engaging our services, you agree to these Terms.
1. Scope of Services
WeMakeIoT is a service-based company specialising in IoT solutions. Our services include:
- One-Time Handoff Projects: Custom firmware development, IoT web application development, and IoT mobile application development.
- SaaS Platform: Access to our IoT monitoring and analytics dashboard, SensorVision.
2. Post-Development Support and Maintenance
- WeMakeIoT’s obligation for the project terminates with the agreed-upon warranty period. Any subsequent technical support, updates, or system maintenance is optional and must be governed by a separate, mutually agreed-upon Maintenance Contract or Retainer Agreement.
- The specific scope, support hours, response times (SLAs), and monthly/annual fees for continued maintenance will be explicitly detailed in that separate agreement.
3. Intellectual Property (IP) Ownership
- Custom Projects: For custom firmware, IoT web, and IoT mobile development, the client owns all final source code, deliverables, and associated hardware designs upon full and final payment of all agreed-upon project invoices.
- WeMakeIoT Background IP: We retain ownership over any pre-existing code, proprietary frameworks, or libraries used across multiple clients, though the client is granted a perpetual, non-exclusive license to use them within their specific project.
- SensorVision SaaS: WeMakeIoT retains all right, title, and interest in and to the
SensorVision SaaS platform, including its software, UI/UX design, and underlying infrastructure. Clients are granted a limited, revocable subscription license to use the platform.
4. Hardware Design & Production Liability
- WeMakeIoT specialises primarily in firmware and software development.
- We do not handle internal PCB printing or manufacturing.
- If requested, WeMakeIoT may assist in identifying third-party manufacturing vendors. However, WeMakeIoT acts strictly as an intermediary and accepts no liability for defects, hardware failures, delays, or financial losses caused by third-party hardware manufacturers.
5. SaaS Service Uptime and Dependencies
- For clients subscribing to our SensorVision dashboard, we strive to maintain high platform availability.
- However, our services are directly dependent on third-party cloud infrastructure providers (such as Amazon Web Services, Google Cloud, or Microsoft Azure).
- WeMakeIoT does not guarantee absolute 100% uptime. Any service interruptions, downtime, or data transmission failures caused directly by outages in the underlying cloud provider’s infrastructure are outside of our control, and WeMakeIoT cannot be held liable for them.
6. Payment and Financial Terms
- Payment milestones, deposits, and timelines for custom development will be outlined in a separate Statement of Work (SOW) or project agreement.
- As a service provider dedicating engineering hours to custom engineering, firmware, and code creation, all payments made to WeMakeIoT are non-refundable unless explicitly agreed otherwise in a signed contract.
7. Governing Law and Jurisdiction
- These Terms, and any dispute arising out of or in connection with our website or services, shall be governed by and construed in accordance with the laws of India.
- Any legal action, suit, or proceeding arising out of these Terms must be brought exclusively in the courts located in Kozhikode, Kerala, India, and you hereby consent to the exclusive jurisdiction of such courts.
8. Changes to These Terms
- We reserve the right to modify these Terms at any time. Changes will become effective immediately upon posting to the website. Your continued use of our services or website constitutes acceptance of the modified Terms.
